One of our HOA Directors, also the Treasurer, resigned recently and I was selected by the remaining BOD members to fill his Director and Officer position for the remainder of what would have been his term (term expires in Sep 2012).

We have since had another Director/Officer resign (the Vice President) and his term was to expire in Sep 2013.

I would like to change Officer Positions and become VP in addition to extending the duration of my term to the previous VP's term (which expires in Sep 2013). The plan would then be to select a new director to fill the remainder of my original term (expires Sep 2012) and be Treasurer.

I hope this makes sense.

Provided that the other existing BOD members concur with me doing this, how do I go about doing it properly and officially? Do I resign and then immediately get nominated for the other position? Do we just document the switch in the minutes and it is official? Is there some other proper way to do this?

I'm not looking to do anything shady here. I know this sounds like the old switcharoo. I just want to be on the BOD for a longer period of time, and the VP position is more suitable for my skill set.

Mike,

Present a letter to the remaining Board members with your request. This is allowed without seeming to be "shady". Your reason is acceptable and should also be to the Board. Make sure that it is in writting.

The officers have a certain term, and the directors have their own term.

Usually, the directors elect the officers. Does your board elect officers?

I think you will be offered the VP position, but within your own term as a director.

In our HOA, the Directors fill the Officer Positions. We have a total of 5 Director Positions and 4 Officer Positions (President, Vice President, Treasurer, & Secretary). We are a small community of 125 single-family homes, so just getting 5 Directors is difficult.

It's that way in Florida as well. The Directors are elected by the membership and those Directors decide which position they will fill, hopefully choosing the right person to fill the right job.

IMHO if you want the position of VP you would simply have to request a change of position with your fellow Board members. If you also want the longer term you would have to resign from the BOD and hope they reappoint you to fill his spot. Since you have problems filling the BOD election in 2012 shouldn't be a problem.

I agree with you about the term. In my HOA we're elected for two years, three directors one year and two the next, and if, for example, the president quits and the VP moves up to President it doesn't include taking over the President's term of office if it's different.

Using Mike's process, a board member could stay on the board forever. Simply keep taking on the terms of other members.

Mike should assume the VP position, but not take over the board term.

Susan, I guess you're right. Your logic makes sense and I never really thought of it that way.

If I did want to extend my term, I would have to do what Glen suggested and that would be to resign and then convince the Board to re-nominate me to the Board into one of the longer-term positions; however, if they choose not to, I am completely out.

What I am going to do is just change Officer positions and retain the term that I was originally nominated to (ending Sep 2012). In Sep 2012, I could then re-run for the Board and extend my term that way . . . the right way.

Check your bylaws. What do they say about appointing officers. In our bylaws, the Board elects the officers for a one year term which expires at the annual meeting when new boaard members are elected.
