Our Committee Charters state: "In order to maintain a functioning committee, a maximum of five (5) members total with three (3) minimum at any meeting to establish quorum".

Would it be proper for the Board to cancel the committees solely on not having three members. We have a Board president, along with two additional Board members and the management company threating to shut down all committees without soliciting the membership to fill the ranks. In the past two days we have received 15 applications from various homeowners and the 3 Board members refuse to act upon the appointemnts.

The board usually designates committees and the committees answer to the board, if a committee is no longer needed or functions then a board can potentially eliminate as long as it does not violate the HOA documents. Some HOA documents can require for example an Architectural Control Committee.

Committees are a good way to have homeowner’s involved to some extent and helps homeowners learn the workings of their community HOA. Because of this homeowners who participate on committees can make good potential future board members when needed.

If they have applications from individuals who want to serve, then I am having a hard time understanding why they do not want to utilize for the committees; however, you also have not stated what committees they are looking to eliminate, and is the reason for sure just because of lack of participation or are they no longer viable committees serving any real purpose for the community.

Sadly, yes, I think that it is proper for the Board to cancel committees solely on not having three members, even if they could appoint people to avoid cancellation.

Generally, Committees are created and live at the whim of the Board although, in your case, Committees have some independent life through the Committee Charters.

Their refusal to do appointments is political but proper.

I'd ask how things are going but it seems clear that you are still involved in trench warfare.

Depends on what KIND of committee on whether or not the board can refuse to appoint people for.

If it is stated in the bylaws that certain committees exist, the board needs to get them established. There re certain standing committees that they can't ignore.

All other types of committees are ad hoc.

The committees they are considering closing done is finance, water, parking, security, safety, website.

The president asked one of the Finance Committee members to "resign" so that the committee could be disbanded. The reason the president can't explain where missing money went and why substantial water credit were never used, where insurance settlement monies went to. By their action they were hiding amongst the three of them and the management company.

The only committee listed in the governing docs is the ARC. If you choose to disband a committee(s), do it for the right reasons.
