Wanted to call a emergency meeting on these issues. Are these valid topics? The next meeting is in three weeks and feel like we need to handle things sooner than later!

1. Discuss and accept board member resigning.
2. Put fine process on the books (how much/letter or amount of letters given before fines are sent)
3. Talk about useless MC and prepping for future removal

There are other issues to talk about but are we allowed to discuss other ones that might not be under the 'emergency meeting' guidelines at the same time.I don't want to get slack for anything.

Rick, a special Board meeting can only be called in accordance with your By-laws. If you are the President you can call such a meeting. I would suggest not having a special meeting but prepare for the meeting in 3 weeks.

1) Before the meeting in three weeks you could get another member lined up to replace the Board member resigning. The Board does not need to formall accept resignations; rather the Board member should resign in writing.

2) Draft and circulate Rules and Regs which can be discussed and finalized at that Board meeting.

3) Review MC Agreement to determine how soon it may be terminated. If termination can be done within 30 days (which I doubt) you could prepare an RFP to discuss at the Board meeting and start developing a list of potential MCs to consider.
