Here is my second question:

a person who is a sitting committee member, senior vice president of a bank he works at (very small bank) sign a proxy from himself (representing the bank) to himself? It seems like a big conflict of interest. any comments.

It sounds like he is just covering his bases with regards to the bank apparently owns the property. He is just insuring that an individual is present via proxy representing the bank. If he is an officer of the bank then he can sign on behalf of the bank and allow any individual including himself be the proxy for the business.
