There is an organization meeting after a new board is elected and the annual meeting is adjourned. Assuming there are 3 newly elected BDs and 2 re-elected ex BDs (ex-president is not re-elected), who should or can call the organization meeting to order? MO: since all 5 BDs are just elected as directors without office title, they should all together call the meeting to order. Any other way to do it?

In my HOA, the Directors are elected by the membership but the officers are appointed by the Board. Therefore, until the new Board appoints new officers, the old officers are still in those positions. Our governing documents indicate that the President of the Association will run the meetings. Therefore, this is what happens:

1) At the annual meeting - the current President collects contact info from newly elected Board members.

2) at the meeting or vis e-mail a mutual date to meet, within the required time frame, is agreed to by the new board.

3) At the meeting - the old President, they would start the meeting off and once a new President has been agreed to - hand the meeting over to them.

If this is the first meeting of the Association and there is no current President, then someone from the new Board just needs to step forward to do the above steps until the meeting happens and officers are appointed.

If your Association actually elects candidates into specific offices, then whom ever is elected to the office of President should do the above steps.

Even if not required, it is always a good idea to have all the outgoing board members present at the first "organization" meeting of the new board. This helps in turning over tasks in progress, documents, keys, and other artifacts. If this is the accepted procedure, the outgoing President can handle arranging and convening the "organization" meeting, and then hand over the gavel to the new President at that meeting once he or she has been identified.

Sorry, forgot to mention that this is a case in CA. By state law and bylaws, right after the chair adjourns the annual (election) meeting, an organization meeting should be held by the newly elected BDs to elect officers. The question: who is to call the meeting to order? (remember the newly elected are all board directors without office title.)

It doesn't matter if the meeting is 10 sec after the election results are announced or later in the week/month. As was stated:

At the meeting - the old President would start the meeting off and once a new President has been agreed to - hand the meeting over to them.

Tim, I can't agree with that the old president would start the meeting off ...

Since this organization meeting is a board meeting (of the new BDs) and if the old president is not re-elected, he/she may even not be present, how can it be done as stated...?

Different associations adhere to different levels of formality. Some strictly follow Robert's rules at all meetings -- others allow a general discussion without structure. This range of ceremony extends to the handover of control from one board to the next.

Strictly speaking, the outgoing President is not relieved of his or her position just because a new Board is elected. That will happen only when a new President is selected by the new Board. Technically then, the outgoing President is required to attend the organization meeting and bring it to order.

In practice, many outgoing Presidents will just stay home, and the new Board convenes the organization meeting without any one particular person calling it to order. Shortly a new President is selected, and things proceed from there.

It’s more a question of custom and the nature of each particular HOA.
