Does anyone belong to a master association that have a couple of subdivisions?

I am confused on how I can be excluded from meeting of my master association because I belong to one of the subdivisions. I pay the same amount of dues, but get less services than other divisions. I am on both board of directors, but am not allowed to attend meetings because "conflict of interest".

I would like to see if anyone has in-depth knowledge.

Are you saying that you sit as a board member for both the Master and the Sub-Association? If you sit on the board of the Master Association you would reserve the same rights as any other Master Association Board member.

I would get a cup a tea and dive in to your declaration and bylaws and see where they are coming up with stuff! Or you can call them on it and tell them to specify exactly where they are getting their information.

The AZ open meeting law states that members are permitted to attend all meetings of the assn. If you are a member of both the master and the sub-assn then you have a right to attend all meetings of both assn's. Who is denying you the right to attend a meeting and exactly what meeting is it -- a board or assn meeting? I suggest you have this individual read the conflict of interest statute contained in the nonprofit corp act. I doubt that you have a conflict of interest because you are a board member.

Something does not make sense. If you are on the Board of Directors it is your duty to attend the meetings! What is the conflict of interest? Who is restricting you from attending?
