We have a 40 member HOA with three Board Officers, President, VP/Secretary and Treasurer. I have been the President for going on four years, our VP for two and our Treasurer for six. Our Treasurer is resigning and no one is volunteering. While our Bylaws state the Board consist of these three officers, they also allow for any absences or vacancies to be filled at the Board's discretion (for no longer than the term limit), either by appointing a homeowner or having an current officer assume the position if no one is willing to be appointed. I'm afraid the latter is what is going to happen, which will leave us with a Board of two. Though the VP and I work well together, this can't be a good management solution. Has anyone run their Board with this configuration before? Thank you.

yep we havent ever had an actual election for our Board because the original 3 were appointed by the developer when he had the votes and since then we cant get a quorum at our annual meeting. Ive been on the board now for 6 years as Treasurer / VP and only last year were we finally able to find someone (new blood in the neighboorhood) that we appointed as the 3rd person. We ran the board with 2 of us for over 2 years. Both of us btw have been on 7 and 6 years respectively.

Committes members usually "feed" the board. Don't you have any committees?

If your board cannot find at least ONE person in your communty to fill a vacancy, that tells me the board has been operating in an isolated vacuum.

Regarding Susan's post, we have only one committee, the ARC, with just three members. I'm not sure what you mean by "feeding" but the way it works here is folks jut volunteer for Board positions and the ARC. Because the neighborhood is small, us officers are readily available, present and well-known. Apathy was mentioned in another post, which I believe is the real culprit. And that apathy, I also suspect, is fed by the pretty problem-free neighborhood in which we are fortunate to live. Most folks are perfectly content to have the Board handle things since we are doing such a fine job anyway! I hope we get a volunteer, but it is good to know from Jeff's post that the Board can be run by just two competent people if it has to.

By "feeding" I mean that in many cases, a person serves on a committee, then moves on to become a board member.

Look for your new board member from one of your ARC members.

Notice went out asking for volunteers when our Treasurer announced her resignation at the end of this year. None of the ARC members were interested. In fact, it wasn't easy to get volunteers for that committee either! And the ones we got, I must say, I would not want as Treasurer. Because our ARC really only has any work to do in the Spring when they are usually reviewing external home/property improvement projects, their personalities do fit this time commitment. Even then, convening the three of them in a timely fashion for a review is always a wonder! But they do get the job done and I'm pleased we have them. The position of Treasurer is much more involved and time-consuming, and requires competent e-mail and computer abilities, which two of these gents do not have. The third member's travel schedule has already been problematic for the ARC, so I would rule him out as well. But now I have to go remove a political sign from our common area!
