Live in 600 HOA in Florida. The By-Laws state that we will have five standing committees. We have board members as the chairperson. The board is going to add several more committees but we do not have enough board members to be chairpersons. Do any of you have a non-board member as the chairperson and if so is it in your By-laws?

Our bylaws allow for the creation of whatever committee we want - and we dont have to have a board member as the chair. Good for you for being able to get that many people interested. We cant even get people interested to be on the board - itll be my 7th year next year - not because I still want to be on but because no one else is interested and if we dont have board members we can go into receivership.

Our bylaws only require 2 standing committees (architectural and nominations) and that the Board shall appoint the members of the committees. It also allows for any other ad-hoc committee the Board may deem required.

Additionally, VA law provides: "Unless the articles of incorporation or bylaws provide otherwise, a board of directors may create one or more committees and appoint members of the board of directors to serve on them. Each committee shall have two or more members, who serve at the pleasure of the board of directors."

Each committee elects a chair from the members of the committee. Our board does not appoint the chair and there is no requirement to have a board member on the committee or chair the committee.

All but one of our committees are chaired by a board member but our bylaws are silent on this. I chair the grant committee and serve on the advisory board. IMO, it's at the discretion of the Pres or the BOD whether or not a board member must chair a committee unless your bylaws are specific on this.
