A quorum is the minimum number of officers and members of a committee or organization, usually a majority, who must be present for the valid transaction of business. Does the HOA have to determine what constitutes a Quorum and have a Quorum present before voting on any HOA business which affects all property owners in a sub-division??

ο»ΏIt depends on what your CC&R’s call for. For our general membership meeting to take place our Declarations specify a simple majority of the Association. Our Board meetings require 3 of the 5 Board members be present and all must agree to pass something in this case.

Andrew, a quorum is defined by an organization's By-laws. A meeting may not be called to order without a quorum (however a date for a future meeting can be established). A quorum is defined as X% (or number) of the total members of the organization. In HOA's it can vary from 10% for a large group to 50% for a very small group.

We scheduled six homeowners to a hearing last week for various violations. There are nine members on our board and only four showed up. The hearings were held and we received an email from the MC that a quorum was not present, but the hearings preceeded. We were notified of the results of the hearings and told to email our responses by the close of the next day as to wether we agreed with the results of the four members who did attend the meeting.
The next morning a board member sent her reply and we were told since her response was received it constituted a qorum and the fining letters would be sent out.
I am all for the fining but, wonder after reading your post if what transpired was correct. Unfortunately I was one of the board members who was unable to attend.

Without a quorum all the board can do is to set the date for the next meeting. No business can be transacted.

One way to achieve the quorum is to have a cell phone with the speaker on. Get the 5th board member on the phone with the speaker turned on so that everyone can hear that member and that member can hear everyone else. As long as the member is on the phone like that, you have a quorum.

A good thing to know in case someone cannot be there, but can be by a phone.

James, a meeting of a Hearing committee is not a Board meeting. These are two different things. Usually committee meetings have no quorum requirements stated in the By-laws. I see nothing wrong with 4 members making a finding at a Hearing.
