Hello,
We have 22 homes and/or lots in our development. 27% of our Membership takes up the Board. Does anyone know of a rule that limits the percentage of Board Members vs. the total Membership?

No ... in Washington any limits are to be stated in either the Articles of Incorporation or By-Laws.

Typically a Board of Directors consist of a minimum of 3 directors. A larger amount is certainly allowed as well. Percentages of the membership usually doesn't enter into the issue. Depending on the development, the percentage could be as high as 60% (3 member board of a 5 unit complex), perhaps more.

Personally, I believe that the more people that are involved the better the Association.

It's probably not an issue, check with what your CCR's say. Ours says a minimum of 3, max of 7 in our 18 unit complex. Currently there's 5 of us on the board so that's over 25%. Now for something like a couple hundred unit complex, having 20% of owners on the board would be overkill, but for a small community like ours that does not use a management company it's nice to know that there are that number of owners willing to serve. At least that's my $0.02.

I've never heard of the number of board members to be based upon a % of the membership. I just recently read a message stating there was only one member of the HOA. Normally there are anywhere from 3 to 7 members with 5 seeming to be the norm. The bylaws will state the number of board members.

I know somebody who lives in an HOA where board membership is pretty much mandatory. There's five units and the Bylaws outline five board positions. The way I understand it there were supposed to be 25 units but the developer sold the remaining land to a commercial real estate company after the first phase thus leaving only five constructed units. At that point he had no further interest in the property so he wasn't going to pay to have new Bylaws recorded. He just handed it to the owners and said "have fun!"
